Context: The Colombia IMC sits within the Latin America & Caribbean region and the Legal Counsel is part of the broader Latin America & Caribbean legal team, which consists of approximately 30 lawyers. Colombia is one of the fastest growing markets in LAC. This role has primary responsibility for drafting, negotiating, executing, and managing/recording all contracts and agreements executed by the Colombian IMC with suppliers, customers, clients, counterparties, and other Diageo entities. Purpose of the role The key function of the role in Colombia is proactive legal counseling and support to the business by documenting its operations through necessary documents, contracts, and agreements in a compliant and regulated environment. This role has primary responsibility for drafting, negotiating, executing, and managing/recording all contracts and agreements with suppliers, customers, clients, and other Diageo entities. Dimensions: Financials - Assess value in terms of negative value, i.e., avoiding or mitigating legal risks with potential financial impact. - Drive value through strategic initiatives and project contributions. - Support the Colombia Head of Legal in monitoring legal spend and managing the legal budget. Market Complexity - Provide legal input on Colombia’s businesses, from import to sell-out, routes to consumers, brands, and strategic relationships. - Manage numerous legal, regulatory, advertising, and commercial risks. - Navigate the complex regulatory environment for alcohol advertising, sales, and promotion. - Address the rapid shift towards e-commerce platforms. - Reinforce Diageo’s Code of Business Conduct and policies among stakeholders. - Ensure legal integration is key to Diageo’s success. - Manage a complex judicial and administrative system. - Comply with global disclosures, reporting, and legal obligations, reconciling local requirements. Leadership responsibilities - Work independently with initiative. - Model Diageo leadership capabilities, mentor, motivate, and foster interdependency. - Lead legal projects, including regulatory issues. - Ensure good corporate governance and compliance, including training and coaching. - Manage judicial trials and assessments. - Advise all business areas on reputation-impacting matters. Top 3-5 Accountabilities: - Draft contracts, agreements, processes, and communication memos. - Design judicial strategies and studies on norms, taxes, and administrative processes. - Verify full legal compliance for all business activities, including Data Privacy and Antitrust. - Identify and implement steps to minimize legal risks. - Provide legal opinions on the business’s legal framework. - Oversee and approve agreements, contracts, and judicial documents involving Diageo. Qualifications and Experience Required: Essential - Bachelor’s in Law with at least 10 years of experience. - Strong relationship and leadership capabilities. - Proficient in Commercial, Administrative, and Corporate Law. - Strong analytical skills for complex situations. - Proficient in English (writing, speaking, listening). Desirable - Postgraduate degree in corporate or commercial law. - Strong personality, deep self-confidence. - Creativity and out-of-the-box thinking. - Willingness to challenge the status quo respectfully.
