China Three Gorges Latam, a world-leading renewable energy company, is seeking a Projects Legal Associate to join the Colombia team. This role will be responsible for providing comprehensive legal support across the full lifecycle of the Company’s solar projects—from structuring and development to construction, financing, and operation. Key responsibilities include drafting, reviewing, and negotiating EPC, BOP, O&M;, and ancillary contracts, supporting land, environmental, and regulatory processes, and assisting with project finance and due diligence. The Projects Legal Associate will also support corporate governance, M&A;, litigation, and internal contract management matters, while ensuring legal compliance and protecting the Company’s interests. Specific Duties Contract Negotiation and Management - Draft, review, and negotiate EPC, BOP, O&M;, supply and ancillary agreements. - Monitor and manage contractual risks and obligations during the entire project lifecycle. - Ensure compliance with internal contract management policies and procedures. Project Development Support - Advise on land acquisition, easements, leases, and rights-of-way. - Oversee legal aspects of environmental licensing, permitting, and regulatory compliance. - Support connection and interconnection processes, ensuring alignment with applicable regulations. Project Finance - Support structuring, due diligence and execution of project finance transactions. - Draft and review finance agreements, security packages and ancillary documents. - Assist in negotiations with lenders, investors and advisors through financial close. Compliance and Procurement - Support the Compliance Officer in implementing the Company’s Compliance System (AML, Terrorism Financing, Ethics). - Oversee procurement processes, contract approval flows, and ensure proper documentation. General Corporate, M&A;, and Dispute Resolution - Provide support in corporate governance matters when required, including board and shareholder resolutions, and corporate filings. - Participate in M&A; transactions when applicable, including due diligence, drafting of preliminary and binding documents (LOIs, MOUs, SPAs). - Draft, review and coordinate with external counsel in litigation, arbitration, and administrative procedures. - Provide legal advice across departments on day-to-day matters to mitigate risks and ensure compliance with local law.
